2. Services Provided GRMI Logistics, LLC provides comprehensive logistics and transportation services, including freight management, driver employment, and associated administrative and communication tools. Our services are primarily intended for our employees, contractors, and business partners.
3. SMS Communication Service a. Opt-In: Our SMS communication service is designed to provide essential operational updates to our drivers. You explicitly consent to receive SMS messages from GRMI Logistics, LLC during your mandatory onboarding process. This consent is documented via an 'SMS Communication Consent Form' which you review and acknowledge. b. Message Content: Messages will include operational updates related to driver home time schedules, dispatch assignments, safety alerts, and critical company announcements. This service is for business-critical and logistical communications. c. Message Frequency: Message frequency will vary based on your operational activity and schedules. d. Cost: Standard message and data rates may apply to messages sent to and from you. Please consult your mobile carrier for details. e. Opt-Out: You can opt-out of receiving SMS messages at any time by replying STOP to any message you receive from us. You will receive one final message confirming your opt-out. f. Help: For assistance, reply HELP to any message. g. Support: For questions or support, please contact us using the details in Section 10. h. No Guarantee of Delivery: We are not responsible for delayed or undelivered messages.
4. Driver Responsibilities As a driver or contractor associated with GRMI Logistics, LLC, you agree to: a. Comply with all applicable federal, state, and local transportation laws and regulations. b. Adhere to all Company policies and procedures. c. Maintain a valid commercial driver's license and any other required certifications. d. Promptly communicate any issues affecting your ability to perform duties, including health concerns, vehicle breakdowns, or delays. e. Keep your contact information, including your mobile phone number, updated with the Company.
5. Intellectual Property All content, trademarks, logos, and intellectual property associated with GRMI Logistics, LLC and its services are the property of GRMI Logistics, LLC or its licensors. You may not use, reproduce, or distribute any such intellectual property without our express written permission.
6. Disclaimer of Warranties Our services are provided "as is" and "as available" without any warranties of any kind, either express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the services will be uninterrupted, error-free, or secure.
7. Limitation of Liability To the fullest extent permitted by applicable law, GRMI Logistics, LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from (a) your access to or use of or inability to access or use the services; (b) any conduct or content of any third party on the services; or (c) unauthorized access, use, or alteration of your transmissions or content.
8. Indemnification You agree to indemnify and hold harmless GRMI Logistics, LLC, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including, without limitation, reasonable legal and accounting fees, arising out of or in any way connected with your access to or use of the services or your violation of these Terms.
9. Governing Law and Jurisdiction These Terms shall be governed by and construed in accordance with the laws of the State of Michigan, without regard to its conflict of law principles. Any legal action or proceeding arising under these Terms shall be brought exclusively in the state or federal courts located in Michigan.
10. Changes to Terms We reserve the right to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect.
